En el presente escrito se realiza el estudio de la figura de la subrogación contemplada en el artículo 1096 del Código de Comercio, aplicable de manera exclusiva al contrato de seguro. En tal sentido, este se define como un contrato mercantil, que tiene por objeto la transferencia de determinados riesgos a una persona jurídica debidamente autorizada, quien asume tal riesgo a cambio del pago de una contraprestación. Partiendo de lo anterior, se procede a analizar la subrogación general consagrada en el régimen civil, y sus similitudes con respecto a la subrogación en el contrato de seguro; esta última siendo definida como la transferencia de los derechos del asegurado al asegurador, con respecto al tercero responsable de la ocurrencia del siniestro, figura que opera de manera automática y hasta concurrencia del valor pagado como indemnización. De esta forma, se realiza un amplio examen de la subrogación en materia mercantil, analizando los requisitos, características y demás elementos que la integran, así como la definición de la expresión hasta concurrencia de su importe contemplada en el mencionado artículo, y la evolución jurisprudencial que la misma ha tenido.

In this document, the study of the figure of subrogation contemplated in article 1096 of the Commercial Code is carried out, applicable exclusively to the insurance contract. In this sense, this is defined as a commercial contract, which aims to transfer certain risks to a duly authorized legal person, who assumes such risks in exchange for a payment. Based on the foregoing, we proceed to analyze the general subrogation enshrined in the civil regime, and its similarities with respect to subrogation in the insurance contract; the latter being defined as the transfer of the rights of the insured party to the insurer, with respect to the third party responsible for the occurrence of the loss, a figure that operates automatically and up to the amount paid as compensation. In this way, a comprehensive examination of subrogation in commercial matters is carried out, analyzing the requirements, characteristics and other elements that comprise it, as well as the definition of the expression until the amount contemplated in the aforementioned article, and the jurisprudential evolution that it has had.
